"Services" refers to all tax consulting, GST compliance, income tax filing, company registration, and related professional services provided by Axios Tax Consultants. "Client," "You," or "Your" refers to any individual or entity that engages our services. "We," "Us," or "Our" refers to Axios Tax Consultants, its partners, employees, and authorized representatives. "Agreement" refers to these Terms and Conditions along with any engagement letter or service agreement executed between the parties. "Fees" refers to the charges for our services as communicated and agreed upon.

2. Acceptance of Terms

2.1 Agreement to Terms

By accessing our website, contacting us for services, or engaging our professional services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

2.2 Capacity to Contract

You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are acting on behalf of a company or organization, you represent that you have the authority to bind such entity to these terms.

2.3 Modifications

We reserve the right to modify these terms at any time. Changes will be effective upon posting on our website. Your continued use of our services after any changes constitutes acceptance of the modified terms.

3. Services

3.1 Scope of Services

We provide professional tax consulting services including but not limited to: • GST registration, compliance, and return filing • Income tax planning and return filing • TDS/TCS compliance and return filing • Company and LLP registration • Business advisory services • Tax audit and assessment support • Representation before tax authorities

3.2 Professional Standards

All services are provided in accordance with applicable professional standards, laws, and regulations. We exercise reasonable skill and care in providing our services.

3.3 No Guarantee of Outcome

While we strive to achieve the best possible outcomes, we do not guarantee any specific result, tax refund amount, or favorable decision from government authorities. Tax matters are subject to interpretation and the discretion of relevant authorities.

3.4 Reliance on Information

Our services are based on the information, documents, and instructions provided by you. We are not responsible for verifying the accuracy or completeness of information you provide.

4. Client Obligations

4.1 Accurate Information

You agree to provide accurate, complete, and timely information and documents necessary for us to perform our services. You are responsible for the accuracy of all information provided.

4.2 Timely Response

You agree to respond to our requests for information and documents within reasonable timeframes to enable timely filing and compliance.

4.3 Legal Compliance

You agree to comply with all applicable tax laws and regulations. You will not ask us to file false returns or engage in tax evasion.

4.4 Document Retention

You are responsible for retaining original documents and maintaining your own records. While we maintain copies for our records, you should keep originals of all documents.

4.5 Disclosure of Material Facts

You agree to disclose all material facts relevant to your tax matters, including any prior disputes with tax authorities, pending litigation, or previous assessments.

5. Fees and Payment

5.1 Fee Structure

Our fees are communicated before commencement of services and may be based on: fixed fees for specific services, hourly rates for consulting, percentage of transaction value, or as otherwise agreed.

5.2 Payment Terms

Unless otherwise agreed: • Advance payment may be required for certain services • Invoices are payable within 15 days of receipt • Government fees and charges are payable in advance

5.3 Additional Charges

The following are charged separately: government filing fees and challan payments, travel and out-of-pocket expenses, additional work beyond agreed scope, urgent or priority processing charges.

5.4 Late Payment

Late payments may attract interest at 18% per annum. We reserve the right to suspend services for overdue accounts and report to credit bureaus where permitted by law.

5.5 GST

All fees are subject to applicable GST at prevailing rates. GST will be charged in addition to the quoted fees.

6. Confidentiality

6.1 Our Obligations

We maintain strict confidentiality of all client information. Your information will not be disclosed to third parties except: as required by law or regulatory authorities, to provide the agreed services, with your prior consent, to our professional advisors bound by confidentiality.

6.2 Your Obligations

You agree to keep confidential any advice, opinions, or work product we provide. Such materials should not be shared with third parties without our prior written consent.

6.3 Exceptions

Confidentiality obligations do not apply to information that: is publicly available, was known to you before disclosure, is independently developed, or must be disclosed by law.

7. Limitation of Liability

7.1 Service Limitations

Our liability for any claims arising from our services shall be limited to the fees paid for the specific service giving rise to the claim.

7.2 Exclusions

We shall not be liable for: • Indirect, consequential, or special damages • Loss of profits, business, or goodwill • Penalties or interest arising from your delay in providing information • Actions or decisions of government authorities • Events beyond our reasonable control

7.3 Client Information

We are not liable for consequences arising from inaccurate, incomplete, or misleading information provided by you.

7.4 Third-Party Actions

We are not responsible for actions of government authorities, banks, or other third parties that may affect your tax matters.

8. Intellectual Property

8.1 Our Property

All methodologies, tools, templates, software, and processes used by us remain our intellectual property. Our work product is licensed for your personal/business use only.

8.2 Website Content

All content on our website, including text, graphics, logos, and software, is our property and protected by intellectual property laws. You may not copy, modify, or distribute our content without permission.

8.3 Client Materials

You retain ownership of information and documents you provide to us. You grant us a license to use such materials for providing services to you.

9. Termination

9.1 Termination by Client

You may terminate our engagement at any time by written notice. You remain liable for fees for services rendered up to the date of termination and any non-cancellable commitments made on your behalf.

9.2 Termination by Us

We may terminate the engagement if: • You fail to pay fees when due • You provide false or misleading information • You ask us to act in violation of laws or professional ethics • Conflict of interest arises • We determine continuation is not appropriate

9.3 Effect of Termination

Upon termination, we will return your original documents and provide a summary of pending matters. Confidentiality obligations survive termination.

10. Dispute Resolution

10.1 Governing Law

These terms are governed by the laws of India. The courts of New Delhi shall have exclusive jurisdiction.

10.2 Mediation

Any dispute arising from these terms or our services shall first be attempted to be resolved through good faith negotiations and mediation.

10.3 Arbitration

If mediation fails, disputes shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be New Delhi, and proceedings shall be in English.

10.4 Time Limitation

Any claim arising from our services must be brought within one year of the act or omission giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Axios Tax Consultants, its partners, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: • Your breach of these terms • Inaccurate information provided by you • Your violation of any laws • Third-party claims related to your tax matters • Your use of our services contrary to advice provided

12. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to: natural disasters, wars, pandemics, government actions, system failures of government portals, internet or power outages, or other events of force majeure.

13. Electronic Communications

13.1 Consent

You consent to receive communications from us electronically via email, SMS, or our website. Electronic communications satisfy any legal requirements for written communications.

13.2 Security

While we use reasonable security measures, you acknowledge the inherent risks of electronic communication. You agree not to hold us liable for security breaches beyond our control.

14. Anti-Money Laundering

In compliance with Prevention of Money Laundering Act, 2002, we may: • Require identity verification documents • Maintain records of transactions • Report suspicious activities to authorities • Decline or terminate engagements if we suspect illegal activities You represent that funds and transactions are from legitimate sources.

15. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms and Conditions, together with any engagement letter, constitute the entire agreement between you and Axios Tax Consultants. They supersede all prior agreements, representations, and understandings.
